Terms of Service
Effective: 18 October 2026
These terms govern access to UduthiPaar™, operated by inaivu IT, a partnership firm based in Tamil Nadu, India. They cover the retail platform, the partner API, the website try-on widget, demonstrations, trials and evaluation pilots. A signed proposal, order form or service agreement may add to or replace the commercial terms for a customer. Every user accepts these terms when they first sign in, and again whenever we change them.
1. Business service and accounts
UduthiPaar™ is supplied to approved retailers, boutiques, ecommerce businesses and integration partners ("shops"). It is not open for public registration. Accounts are created by us or by a shop's administrator.
- Each person must use their own login. Do not share passwords, API keys or widget keys.
- The shop is responsible for its staff accounts: who it adds, the roles it gives (Admin, Sales, Billing) and removing people who leave.
- Tell us at once at partnerships@inaivuit.com if you think a login or key has been misused.
2. Customer photographs and consent
You may submit only photographs, garment images and other material you are allowed to use. The shop collecting a customer's photograph decides why it is taken and must:
- tell the customer what the photo is for and record their consent in the app before the photo is used;
- get a parent's or guardian's consent before photographing anyone under 18;
- use a partner's photo (Occasion Pairing) only when that person has agreed;
- delete a customer's photos when they withdraw consent or ask for deletion.
Photos are deleted automatically after the shop's retention period (30 days unless agreed otherwise with the shop). Records of try-ons, consent and charges are kept without the photos.
3. AI-generated previews
UduthiPaar™ makes illustrative AI-generated previews. A preview does not guarantee fit, size, drape, texture, colour, stitching, stock or the final look. Customers must see the actual garment and confirm measurements before buying.
AI output can be inaccurate or change details unexpectedly. Staff must not present a preview as a photograph, a tailoring specification or a promise. Combo try-ons and styling options (for example a blouse or shirt the AI adds) are suggestions only.
4. Acceptable use
- Do not try to get around shop separation, access controls, budgets, rate limits or safety measures.
- Do not put production API credentials in public website code.
- Do not reverse engineer, overload or disrupt the service.
- Do not upload unlawful, obscene, defamatory or infringing content, or use the service to impersonate, harass, exploit or harm anyone.
- Do not use previews of a person in advertising or social media without that person's separate permission.
5. Plans, fees and invoices
- Each shop's plan sets its fees: for example a monthly platform fee, a charge per successful AI image, add-on fees (such as combo try-ons or styling options) and a catalogue size charge. Prices are those agreed with the shop and shown in the app.
- Only successful images are charged. A combo try-on is charged at its own price, which by default is one and a half times the price of a single image.
- We issue one invoice per month for the previous month. Payment is due by the date and in the way shown on the invoice. Taxes are added only where they apply and are shown on the invoice.
- We may pause AI images or suspend a shop with unpaid invoices after giving notice.
- Published "from" prices are starting points; the shop's proposal or plan states the final rates. The ₹9,900 managed evaluation pilot covers 30 days, one store and two users; previews follow the agreed AI budget. Any ₹5,000 annual-contract credit applies only when the documented conversion conditions are met.
6. Trial plans
- A trial gives a shop a credit (for example ₹500) to use at a trial price per image, for a fixed number of days. Combo images use one and a half times the trial price.
- The trial ends on its end date or when the credit is used up, whichever is first. Unused credit has no cash value and cannot be carried forward or refunded.
- After a trial, the shop either keeps the trial terms for a short grace period after which AI images pause until a plan is chosen, or moves to the plan it agreed to in advance. We will not move a shop to a paid plan it has not agreed to.
7. Availability and changes
We aim for a reliable service but do not promise uninterrupted availability, or that every garment, photo or AI provider will give an acceptable result. We may maintain, secure, change or withdraw features when reasonably needed, and will give notice of changes that materially affect paying shops. Trial, pilot and test features may differ from production.
8. Intellectual property
inaivu IT and its licensors keep all rights in UduthiPaar™, its software, documentation, design and brand. Shops keep their rights in the material they upload. Shops may use previews made for their customers in the course of their business, subject to the rights in the source material, the customer's permission and the AI providers' terms.
9. Privacy
Our Privacy Policy explains how photographs and other personal data are processed, kept and deleted. Shops must make sure their own notices to customers describe their use of UduthiPaar™.
10. Liability
As far as the law allows, UduthiPaar™ is provided without warranties of merchantability, fitness for a particular purpose or accuracy of AI output. inaivu IT is not responsible for purchase, sizing or tailoring decisions made from a preview. Our total liability for any claim is limited to the fees the shop paid us in the three months before the claim, unless a signed agreement says otherwise. Nothing here limits liability that cannot be limited by law.
11. Suspension and ending the service
We may suspend access for non-payment, an exhausted budget, a security risk, unlawful use or a material breach of these terms. A shop may stop using the service at any time; see the Cancellation & Refund Policy. When a shop leaves, photos are deleted as described in the Privacy Policy, and billing records are kept as the law requires.
12. Changes to these terms
We may update these terms as the product, our providers or the law change. The effective date above shows the current version. When the terms change, every user is asked to read and accept them again before continuing to use the app.
13. Governing law, disputes and contact
These terms are governed by the laws of India. Unless a signed agreement says otherwise, the courts at Salem, Tamil Nadu have jurisdiction. Complaints can be raised with our Grievance Officer as described on the Grievance Redressal page.
